Please read these terms and conditions carefully before using SoundStudioPro. By accessing or using our service, you agree to be bound by these terms.
1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SoundStudioPro ("Company," "we," "us," or "our") regarding your use of our AI-powered music generation platform and services (collectively, the "Service").
By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
2. Service Description
SoundStudioPro provides an AI-powered music generation platform that allows users to create original music compositions, lyrics, and audio content using artificial intelligence technology. Our Service includes:
- AI-powered music generation and composition
- Lyric generation and editing tools
- Audio file creation and download capabilities
- Stem separation: Separate tracks into up to 16 individual stems (vocals, drums, bass, guitar, keyboard, strings, brass, woodwinds, percussion, synth, fx, backing vocals, and more) or vocal/instrumental separation
- MIDI extraction: Extract MIDI files from audio stems for use in digital audio workstations and music production software
- User account management and credit system
- Community features and content sharing
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.
3. User Accounts and Registration
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate and current
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 13 years old to create an account. If you are under 18, you represent that you have parental or guardian consent to use the Service.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.
4. Intellectual Property Rights
4.1 Platform and Service IP
The Service, including its software, algorithms, user interface, design, and content (excluding User-Generated Content), is owned by SoundStudioPro and is protected by copyright, trademark, patent, and other intellectual property laws.
4.2 User-Generated Content
For Paid Subscribers:
Subject to these Terms, paid subscribers retain ownership of content generated using our Service during their active subscription period. You may use, distribute, reproduce, and commercialize your generated content, provided you comply with all applicable laws and these Terms.
A "paid subscriber" includes users who have purchased a subscription plan OR a credit package. Credit package purchases grant the same commercial rights as subscription plans for content created using those credits.
⚠️ CRITICAL: Commercial Rights Timeline
Commercial rights are ONLY granted for content created AFTER you become a paid subscriber. Any tracks, music, or content generated while using a free account or before upgrading to a paid subscription DO NOT include commercial usage rights, even if you later become a paid subscriber.
This means:
- Tracks created as a free user remain non-commercial forever
- Upgrading to paid does NOT retroactively grant commercial rights to previously created content
- Only new content created after payment is eligible for commercial use
- Commercial use of pre-paid content constitutes a violation of these Terms
For Free Users:
Free users grant SoundStudioPro a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute content generated through our Service. Free users may not commercialize or distribute AI-generated content without upgrading to a paid subscription.
🚫 NO COMMERCIAL RIGHTS FOR FREE CONTENT
Content created with a free account has NO commercial usage rights whatsoever. This restriction applies permanently, even if you later upgrade to a paid subscription.
Free account limitations:
- All generated content is for personal use only
- No commercial licensing, distribution, or monetization allowed
- No retroactive rights granted upon upgrading to paid
- Violation may result in legal action and account termination
✅ 30-Day Upgrade Grace Period (Exception)
Users who upgrade to a paid subscription within thirty (30) calendar days of their initial account creation may claim commercial usage rights to content created during that introductory period.
This grace period applies to:
- Up to five (5) tracks from the standard Starter Gift allocation
- Any additional bonus credits or tracks received through promotional offers, holiday campaigns, or platform incentives during the grace period
Conditions:
- The grace period begins at the timestamp of account creation and cannot be extended, paused, or restarted
- Upgrade must be completed and payment successfully processed before the 30-day window expires
- Only content created during the grace period qualifies; content created after the window closes but before upgrading does not qualify
- This exception applies exclusively to first-time account holders and cannot be combined with account recreation or transfers
Upon successful upgrade within the grace period, all eligible tracks will be automatically reclassified with full commercial usage rights equivalent to content created under your paid subscription tier.
4.3 Original User Content
You retain ownership of any original content (lyrics, prompts, descriptions) that you provide to the Service. By submitting such content, you grant us a license to use it solely for the purpose of providing the Service to you.
4.4 Retroactive Rights and Timeline
⏰ COMMERCIAL RIGHTS TIMELINE - NO RETROACTIVE GRANTS
Commercial usage rights are strictly tied to your subscription status at the time of content creation. This is a fundamental aspect of our licensing model and cannot be altered.
Key Timeline Rules:
- Free Period Content: Any content created while using a free account remains non-commercial forever
- Paid Period Content: Only content created after payment is eligible for commercial use
- No Retroactive Rights: Upgrading to paid does NOT grant commercial rights to previously created content (except under the 30-Day Grace Period for new accounts - see section 4.2)
- Account Downgrades: If you cancel paid subscription, new content reverts to free user restrictions
- Permanent Record: We maintain records of when content was created and under what account type
Legal Protection: By using our Service, you acknowledge and agree that commercial rights are non-retroactive and timeline-based. Any attempt to commercialize content created during a free period constitutes a violation of these Terms and may result in legal action.
4.5 Attribution and Usage Rights
When using content generated through our Service, you must:
- Comply with all applicable copyright and intellectual property laws
- Not claim that AI-generated content was created entirely by human effort
- Respect the rights of third parties whose content may be referenced
- Not use the Service to create content that infringes on others' rights
4.6 Enforcement and Violations
Commercial Rights Violations
Violation of commercial rights restrictions constitutes a material breach of these Terms. SoundStudioPro reserves the right to:
- Immediately terminate your account and access to the Service
- Pursue legal action for copyright infringement and breach of contract
- Seek injunctive relief to prevent further unauthorized use
- Claim damages including but not limited to lost revenue and legal fees
- Report violations to relevant authorities and platforms
By using our Service, you acknowledge that we maintain detailed records of content creation timelines and account status changes. These records serve as evidence in any legal proceedings related to commercial rights violations.
Promotional Video Usage Rights
SoundStudioPro reserves the right to use any music created or uploaded to our platform in promotional videos, marketing materials, and other promotional content for the purpose of promoting our artists and SoundStudioPro. By using our platform, you grant SoundStudioPro a non-exclusive, royalty-free license to use your music in such promotional materials.
5. Payment Terms, Subscriptions, and Credits
Our Service offers two payment options: monthly recurring subscriptions and one-time credit purchases. Both systems work together to provide flexible access to music generation.
5.1 Monthly Subscription Plans
We offer monthly recurring subscription plans (Essential, Starter, Pro, Premium, Enterprise) that provide a set number of tracks per month.
- Subscriptions are billed monthly in USD and automatically renew each billing period
- Each subscription plan includes a monthly track limit (e.g., 5, 30, 75, 200, or 1000 tracks per month)
- Monthly track limits reset on your individual billing date (not the calendar month)
- Unused tracks from one billing period do not carry over to the next period
- Subscriptions include commercial licensing rights for all content created during active subscription periods
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
- We reserve the right to modify pricing with 30 days' notice to existing subscribers
Subscription Track Limits
How monthly limits work:
- When you subscribe, you receive a monthly track limit based on your plan
- Your limit resets automatically on your billing date each month (e.g., if you subscribe on the 15th, your limit resets on the 15th of each month)
- Track limits are per subscription period, not cumulative
- If you reach your monthly limit, you can purchase extra credits (with active subscription) or wait until your next billing period
5.2 One-Time Credit Purchases
In addition to subscriptions, we offer one-time credit purchases that never expire (until used). An active subscription is required to purchase credits.
- Credits are sold in packages (Starter: 30 credits, Pro: 150 credits, Premium: 500 credits)
- Credits never expire and can be used at any time
- Credits work alongside subscriptions - you can use credits even if you've reached your monthly subscription limit
- Each credit equals one music track generation
- Credits are ONLY for generating your own tracks - they cannot be used to purchase tracks from other artists
- Credits include commercial licensing rights for content created using those credits
- An active subscription (minimum Essential plan at $5/month) is required to purchase credits
Credit Usage
How credits work:
- Credits are deducted when you create a track (1 credit = 1 track)
- Credits are used after your subscription monthly limit is reached (subscription required to purchase credits)
- Unused credits remain in your account indefinitely
- With an active subscription, credits can be purchased at any time to supplement your monthly track allowance
- IMPORTANT: Credits are for generating tracks only - purchasing tracks from other artists requires payment via Stripe (tracks are sold at $1.99 USD)
5.3 Commercial Licensing Rights
Subscription Content Rights
During your active subscription period, you have commercial licensing rights for:
- All content created using your monthly track allowance
- Right to distribute, monetize, and use generated content commercially
- Commercial rights continue for content created during active subscription periods, even if you later cancel
Credit-Based Content Rights
Content created using purchased credits includes:
- Commercial licensing rights for all content created with credits
- Rights are permanent - once content is created with credits, commercial rights do not expire
- Right to distribute, monetize, and use generated content commercially
5.4 Track Purchases from Artists
Our platform allows you to purchase completed tracks from other artists. Track purchases are separate from the credit system used for generating tracks.
- Tracks are sold at $1.99 USD per track (or as set by the artist)
- Track purchases must be paid via Stripe - credits cannot be used to purchase tracks from other artists
- Purchased tracks include full commercial licensing rights
- Once purchased, tracks are permanently available in your account
5.5 Payment Processing
Payments are processed through secure third-party payment processors (Stripe). You agree to provide accurate payment information and authorize us to charge your payment method for all purchases and subscription renewals.
5.6 Subscription Cancellation and Refunds
Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to your subscription benefits until the period ends.
Refunds: Refunds are provided in accordance with our Refund Policy. Subscription fees are generally non-refundable once the billing period has begun. Credit purchases may be refunded within 7 days of purchase if unused, subject to verification.
Stem Separation Costs and Refunds: Stem separation services consume credits and are charged as follows: Full stem separation (up to 16 individual stems) costs 3 credits, and vocal/instrumental separation costs 2 credits. Credits are deducted immediately upon initiating stem separation. Once credits are used for stem separation or any other service, they are non-refundable. Refunds are only available for unused credits within 7 days of purchase, subject to verification.
Video and AI generation: Credits used for video or other AI-generated content are non-refundable except as set out in section 5.9 (technical failure).
5.7 Subscription Changes and Upgrades
You may upgrade or downgrade your subscription plan at any time. Changes take effect immediately, and billing is prorated accordingly. Downgrades take effect at the start of your next billing period.
5.8 Usage Limits, Shared Credit Pool, and Fair Use
Subscription plans include a monthly track (or equivalent) allowance. This allowance is a single pool: generating tracks, using stem separation, MIDI export, or other credit-consuming features all draw from the same allowance or from your purchased credits. Using credits for stems, MIDI, or other features therefore reduces the balance available for track generation until the next reset or until you purchase additional credits.
Descriptions such as "unlimited" or high caps refer to use that is fair and consistent with typical individual or professional use in the market. They are not intended to cover systematic bulk generation, resale of outputs, or use that would undermine the sustainability of the service.
We reserve the right to (a) apply and enforce reasonable usage caps per plan, (b) count all credit-consuming actions (tracks, stems, MIDI, and other features) toward those caps, (c) require purchase of additional credits or a higher plan when usage exceeds fair use or stated limits, and (d) modify these limits and policies with reasonable notice where required by law.
5.9 Video and AI Generation; Credits and No Refunds
Credits may be used for AI-generated video features (e.g. Signature Music Video, promo clips, visualizations, bounce/TikTok-style videos). Cost varies by resolution and duration. Once you initiate a video generation, credits are deducted immediately.
No Refunds for Video or AI Generation
The following applies to all credit-based video and AI generation:
- Credits spent on video or other AI generation are non-refundable. No cash refunds are given for any video or AI output.
- If a generation fails for technical reasons (e.g. service error, timeout) and no usable output is delivered, we may refund the credits used for that attempt to your account. This is the only form of refund for video/AI generation.
- No refund of credits or money for dissatisfaction with quality, content, length, or style of the output. You use these features at your own risk.
- We do not guarantee that any AI or video generation will succeed, meet your expectations, or be suitable for any particular use.
- You are responsible for ensuring your prompts and inputs comply with our Acceptable Use and content policies. Output may be removed if it violates our terms or the law.
By using video or AI generation features, you agree to these terms. Purchases of credits for use on the platform are final except as stated above (unused credits within 7 days, or technical-failure credit refund).
Video and AI generation may be subject to third-party provider availability and limits. We are not liable for provider outages, changes in quality, or removal of features.
Music Marketplace & Track Sales
This section governs the sale and purchase of AI-generated music tracks through the SoundStudioPro community marketplace. It applies to all artists selling tracks and buyers purchasing tracks.
Fixed Pricing Tiers
To ensure a fair and consistent marketplace experience, all public tracks must be priced using one of our fixed pricing tiers. Artists cannot set custom prices outside these tiers.
Available Price Tiers:
- Free ($0.00) — Share your music with the community at no cost
- $0.99 — Entry-level pricing for singles and shorter tracks
- $1.99 — Standard pricing for quality productions
- $2.99 — Premium pricing for high-quality or extended tracks
Pricing can be changed at any time by the artist, but must always conform to one of these tiers.
Publishing & Release Date
When you make a track public for the first time, a permanent release date is recorded. This date determines the track's position in "newest" listings.
- The release date is set once and cannot be changed or reset
- Toggling a track between public and private does not affect the original release date
- This prevents manipulation of the "newest" rankings in the community
Revenue & Payouts
Artists earn revenue from track sales based on their subscription plan:
- Free/Starter plan: Artist keeps 15% of sales, platform fee 85%
- Pro plan: Artist keeps 85% of sales, platform fee 15%
Buyer Rights
When you purchase a track from the marketplace:
- You receive a personal license to download and use the track
- Commercial use rights depend on your subscription plan and the track's license type
- All sales are final; refunds are only issued in cases of technical issues preventing download
Professional Stems Sales
Artists may offer individual audio stems (separated tracks) for purchase. Stems are professional-grade audio files designed for remixing, DJ sets, and creative production work.
- Stems are sold as a complete package containing all individual stems (vocals, drums, bass, guitar, etc.) for a single track
- Pricing is set by the artist using tiered pricing options starting at $19.99 USD
- Stems are only available for tracks that have undergone stem separation processing
- Each stem purchase includes all individual stems for that track (not sold separately)
- Stem purchases are separate from track purchases - purchasing a track does not include stems unless explicitly stated
Stems Licensing & Usage Rights
When you purchase stems, you receive:
- Commercial licensing rights to use stems in remixes, DJ sets, and creative productions
- Right to create derivative works (remixes, mashups, edits) for commercial distribution
- Perpetual usage rights - your license never expires
- Right to monetize remixes and derivative works across all platforms (YouTube, Spotify, SoundCloud, etc.)
You may NOT redistribute stems as standalone music packs, resell stems individually, or claim ownership of the original stems. All derivative works must be substantially different from the original track.
Ticketed Events & Live Experiences
This addendum governs every event listing, ticket sale, QR code, and on-site check-in processed through SoundStudioPro. It applies to both event organizers and attendees in addition to the general Terms above.
Marketplace Role & Seller of Record
SoundStudioPro operates a managed marketplace. Depending on the event, we either (a) facilitate sales on behalf of an independent organizer, or (b) act as the direct seller when we host our own productions.
- We provide ecommerce infrastructure, payment processing, fraud monitoring, QR-code ticket issuance, and access-control tooling.
- Independent organizers remain solely responsible for event details, venue compliance, staff, security, and any permits or insurance that local law requires.
- When we collect funds on behalf of an organizer, the money is held in trust until the event concludes, subject to chargebacks, penalties, and our right to issue attendee refunds.
Event Pricing & Fees
SoundStudioPro offers competitive pricing for event organizers with tiered fee structures based on your subscription plan. Our fees are lower than industry standards, helping you maximize your event revenue.
Fee Structure: Our pricing model consists of two components:
- Service Fee: A percentage of the ticket price plus a fixed fee per ticket (varies by subscription plan)
- Payment Processing Fee: Standard payment processing fee (2.9% per transaction)
Pricing Tiers:
- Free Plan: 2.5% service fee + $0.99 per ticket
- Starter Plan: 2.2% service fee + $0.99 per ticket
- Pro Plan: 2.0% service fee + $0.99 per ticket
- Premium Plan: 1.8% service fee + $0.99 per ticket
- Enterprise Plan: 1.5% service fee + $0.99 per ticket
Key Points
Free Events: Events with $0 ticket prices have no service fees or payment processing fees.
Fee Payment: By default, fees are added to the ticket price and paid by attendees. Organizers may choose to absorb fees, in which case fees are deducted from ticket revenue.
Payouts: Organizer earnings (ticket revenue minus fees) are calculated and displayed in real-time in your Sales & Earnings dashboard. Payouts are processed according to our payout schedule.
Competitive Advantage: Our pricing is significantly lower than major competitors. For example, on a $50 ticket, organizers on our Free plan pay approximately $2.24 in fees compared to $5.09+ on other platforms.
Ticket Purchase, Delivery, and Transfer
All ticket prices, fees, and taxes are disclosed at checkout. A ticket is confirmed only after payment is authorized and a QR code (or order number) is issued.
- Tickets are delivered digitally inside the user dashboard along with the scannable QR credential.
- Unless a transferable ticket type is explicitly enabled, tickets are personal, non-transferable, and may require photo ID at the door.
- Attempts to duplicate, resell above face value, or tamper with QR codes void the ticket without refund.
- We may cap the number of tickets per user to combat abuse. Orders that exceed the limit can be cancelled and refunded automatically.
Attendee Responsibilities
- Arrive with valid identification that matches the ticket name when required.
- Comply with venue policies (age restrictions, prohibited items, health & safety directives).
- Promptly notify support if you suspect unauthorized ticket access so we can revoke and reissue credentials.
- Use the comment, upload, and support tools responsibly; harassment, spam, or illegal activity leads to removal without refund.
Organizer Responsibilities
- Publish accurate event metadata (date, time, venue, capacity, pricing, applicable taxes/fees) and keep it updated.
- Honor all valid tickets scanned through the check-in console unless the attendee violates venue rules that are clearly disclosed.
- Provide a designated contact who can answer attendee questions within 48 hours.
- Maintain sufficient staffing, security, and accessibility accommodations to satisfy local regulations and SoundStudioPro’s safety expectations.
- Authorize SoundStudioPro to issue refunds that are required by law or these Terms. Unauthorized refusal may result in withheld settlements or account suspension.
Refunds, Cancellations, and Event Changes
Ticket sales are generally final; however the following protections apply:
- Full refunds (including fees) are issued automatically if an event is cancelled or never opens its doors.
- If an event is substantially rescheduled or relocated, attendees may request a refund until 48 hours before the new start time.
- Organizers may define a limited voluntary refund window (e.g., 24 hours post-purchase); any such policy must be stated on the event card and will be enforced by us.
- Refunds are returned to the original payment method when possible; otherwise we may issue platform credits.
Chargebacks and Disputes
You agree to resolve ticket disputes with SoundStudioPro first. Unauthorized chargebacks may result in immediate ticket cancellation, account suspension, and recovery of any penalties imposed by the payment network.
- We share purchase logs, QR scans, and access history with the payment processor to contest fraudulent claims.
- Organizers authorize us to deduct any chargeback losses or fines from future settlements.
Prohibited Conduct & Enforcement
- No speculative or bait listings, fake scarcity tactics, or undisclosed fees.
- No harvesting of attendee data outside the tools provided by SoundStudioPro without explicit consent.
- No use of QR credentials for anything other than venue entry.
- We may freeze payouts, remove listings, or ban accounts that violate these rules, in addition to any other remedies set out in these Terms.
Radio Station Licensing
This addendum governs the licensing of music tracks to radio stations through SoundStudioPro's radio licensing platform. It applies to all radio stations, broadcasters, and artists participating in the radio licensing program.
Licensing Agreement
By subscribing to our radio licensing service, radio stations agree to the following terms:
- Stations receive a non-exclusive license to broadcast tracks from our catalog during their active subscription period
- All plays must be logged through our API or dashboard to ensure accurate royalty distribution
- Stations must comply with their subscription tier's play limits and usage restrictions
- Licenses are non-transferable and may not be sublicensed to third parties
Subscription Tiers & Usage Limits
Radio stations must select and maintain an appropriate subscription tier based on their broadcast needs:
- Local Station: Up to 500 plays per month, single location
- Regional Network: Up to 2,000 plays per month, multiple stations (up to 5)
- National Network: Unlimited plays, unlimited stations
- Enterprise: Custom play limits and terms negotiated individually
Subscription Pricing
- Local: $99/month
- Regional: $299/month
- National: $999/month
- Enterprise: Custom pricing
Artist Royalties & Revenue Distribution
SoundStudioPro operates a transparent royalty distribution system for artists:
70% of subscription revenue is distributed to artists based on play counts, with 30% retained as platform fees.
- Royalties are calculated automatically for each track play logged through our system
- Artist payouts are processed monthly, with detailed reporting available in artist dashboards
- All royalty calculations and distributions are transparent and auditable
Compliance & PRO Reporting
SoundStudioPro provides automated compliance reporting to Performance Rights Organizations (PROs):
- All plays are automatically logged and reported to ASCAP, BMI, SESAC, and other relevant PROs
- Stations must ensure accurate play logging through our API or dashboard
- Failure to log plays accurately may result in subscription suspension or termination
Important Compliance Notice
Radio stations are responsible for ensuring all broadcast plays are logged. Unlogged plays may result in compliance issues and subscription penalties.
API Access & Integration
Subscribed radio stations receive API access for automated play logging:
- API credentials are provided upon successful subscription activation
- API keys must be kept secure and not shared with unauthorized parties
- Rate limiting applies to all API endpoints to ensure system stability
- Stations may integrate our API with their broadcast software for automatic play logging
Usage Restrictions
- Tracks may only be used for radio broadcasting during the active subscription period
- Stations may not download, redistribute, or create derivative works from licensed tracks
- Tracks may not be used for non-broadcast purposes (e.g., background music, on-hold systems) without separate licensing
- Stations must respect artist opt-out requests if tracks are removed from the licensing catalog
Subscription Termination
Subscriptions may be terminated by either party:
- Stations may cancel their subscription at any time, with access continuing until the end of the current billing period
- SoundStudioPro may terminate subscriptions for violation of these terms, non-payment, or fraudulent activity
- Upon termination, all licensing rights expire immediately, and stations must cease broadcasting licensed tracks
SoundStudioPro Distribution Agreement
By submitting music for distribution through SoundStudioPro, you agree to the following terms.
1. Scope and acceptance
This Distribution Agreement ("Agreement") applies to your use of SoundStudioPro's music distribution service. By submitting a release, you confirm that you have read, understood, and agree to be bound by these terms and by our general Terms and Conditions.
2. Rights and authorization
You represent and warrant that:
- You own or control the necessary rights to the music (including master recording and, where applicable, composition) and are authorized to distribute it worldwide and collect royalties.
- You are not using another artist's name, likeness, or brand in your artist name, song titles, or album title without their express permission.
- Your content does not infringe any third-party copyright, trademark, or other rights.
3. Distribution channels and metadata
You choose which stores and streaming services receive your music. By selecting a service (e.g. Spotify, Apple Music, YouTube Music), you authorize distribution to that service. Stores may adjust metadata (e.g. capitalization) per their style guidelines. SoundStudioPro is not responsible for how stores display or modify your metadata.
4. Prohibited conduct and fake streams
You agree not to use "promo" or marketing services that guarantee streams, plays, or playlisting through artificial or fraudulent means (e.g. bots, fake accounts, or paid fake engagement). Such activity violates store policies, can result in removal of your music and termination of your account, and may expose you to liability. SoundStudioPro may suspend or terminate distribution and accounts that we reasonably believe are involved in such conduct.
5. Royalties and fees
Distribution is included in your subscription — no per-track or per-release fee (unlike services that charge $9.99 per track). You keep 80–95% of royalties depending on your plan (Essential 80%, Starter 85%, Pro 90%, Premium/Enterprise 95%). SoundStudioPro deducts its commission from streaming and store earnings. You are responsible for any taxes on your earnings.
Payouts are processed according to our payout schedule (e.g. monthly) and only when your balance meets the minimum payout threshold. You must provide a valid payout method (e.g. PayPal email) and any required tax information (e.g. W-9 for US payees) before we can process a payout.
If a payment to SoundStudioPro is reversed (chargeback or dispute), we may reverse the corresponding artist share and deduct it from your balance or future payouts. Unauthorized chargebacks may result in account suspension.
6. Limitation of liability
SoundStudioPro acts as a facilitator between you and third-party stores. We are not liable for store actions (e.g. takedowns, policy changes, or metadata changes), for your breach of rights or warranties, or for indirect or consequential damages arising from distribution. Our liability is limited to the extent permitted by law.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to create content that is illegal, harmful, threatening, abusive, or defamatory
- Generate content that infringes on intellectual property rights
- Attempt to reverse engineer, decompile, or hack the Service
- Use automated systems to access the Service (except as permitted)
- Share account credentials or allow unauthorized access
- Use the Service for commercial purposes without appropriate licensing
- Attempt to circumvent credit or payment systems
- Upload or transmit viruses, malware, or harmful code
Content Moderation
We reserve the right to review, moderate, and remove content that violates these Terms. We may suspend or terminate accounts that repeatedly violate our policies.
User Content Responsibility & Indemnification
This section establishes your sole responsibility for all content you create using our Service and your obligation to protect SoundStudioPro from any claims arising from your content or use of the Service.
Your Sole Responsibility for Content
You are solely and entirely responsible for all content you create, generate, upload, publish, distribute, or share using our Service, including but not limited to music, lyrics, audio files, descriptions, prompts, and any derivative works.
This responsibility applies regardless of whether the content is:
- Pleasing, offensive, controversial, or objectionable to any person or group
- Legally compliant or potentially violating any laws, regulations, or third-party rights
- Accurate, misleading, defamatory, or harmful in any way
- Created using AI-assisted tools, prompts you provided, or any combination thereof
- Distributed publicly, privately, commercially, or non-commercially
SoundStudioPro provides the tools; you are the creator and publisher. The nature, intent, and consequences of your content are entirely your responsibility.
Indemnification Obligation
You agree to defend, indemnify, and hold harmless SoundStudioPro, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:
- Any content you create, generate, upload, publish, or distribute using the Service
- Your use or misuse of the Service
- Your violation of these Terms or any applicable law or regulation
- Your violation or infringement of any third-party rights, including intellectual property, privacy, or publicity rights
- Any claims by third parties related to your content, including claims of defamation, harassment, discrimination, or emotional distress
- Any dispute between you and any third party arising from your content or activities on the Service
This indemnification obligation will survive the termination of your account and these Terms.
No Platform Liability for User Content
SoundStudioPro is not liable for any user-generated content, including content that may be offensive, harmful, inaccurate, or otherwise objectionable. We do not endorse, verify, or take responsibility for any user content.
You acknowledge and agree that:
- We are not obligated to monitor, review, or screen user content before or after publication
- We are not responsible for content that remains on the platform, even if reported or flagged
- We are not liable for any failure to remove content or for any delay in content removal
- We are not responsible for any harm caused by user content to you, other users, or third parties
- Our provision of AI tools does not make us a co-creator or publisher of your content
Content Removal Rights
SoundStudioPro reserves the absolute right, but not the obligation, to:
- Remove, disable, or restrict access to any user content at any time, for any reason or no reason, without prior notice
- Refuse to publish or distribute any content that we believe, in our sole discretion, violates these Terms or may expose us to liability
- Cooperate with law enforcement, regulatory agencies, or court orders requiring disclosure of user content or account information
- Terminate accounts that create content we deem harmful, offensive, or in violation of our policies
You acknowledge that content removal or account termination under this section does not entitle you to any refund, compensation, or restoration of content.
⚠️ CRITICAL: You Bear All Legal Risk
By using SoundStudioPro, you expressly acknowledge and agree that YOU BEAR ALL LEGAL RISK for the content you create. If any person, entity, or government agency brings a claim, lawsuit, or enforcement action related to your content, you are solely responsible for:
- All legal defense costs, including attorneys' fees
- Any damages, settlements, or judgments
- Protecting and defending SoundStudioPro from any involvement in such claims
- Any regulatory fines, penalties, or compliance costs
This applies whether your content is deemed legal or illegal, pleasing or offensive, accurate or defamatory, in any jurisdiction worldwide.
7. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
8. Disclaimers and Limitations of Liability
8.1 Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available" without warranties of any kind.
8.2 Content Quality
While we use advanced AI technology, we do not guarantee the quality, accuracy, or suitability of generated content for any specific purpose. Users are responsible for reviewing and validating generated content.
8.3 Limitation of Liability
To the maximum extent permitted by law, SoundStudioPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising from your use of the Service.
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Canada and Quebec, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada. The arbitration shall be conducted in Joliette, Quebec.
You and SoundStudioPro agree to waive any right to a jury trial or to participate in a class action lawsuit.
12. API Terms of Service
This section governs your use of the SoundStudioPro AI Music API ("API"). By accessing or using the API, you agree to be bound by these API-specific terms in addition to the general Terms above.
12.1 API Access and Eligibility
Access to the API is available to registered users who:
- Maintain an active account in good standing
- Have sufficient account balance to cover API usage costs
- Comply with all applicable terms and usage policies
- Use the API solely for lawful purposes and in accordance with these Terms
12.2 API Keys and Authentication
API access requires a valid API key issued by SoundStudioPro. You are responsible for:
- Keeping your API keys secure and confidential
- Not sharing, selling, or transferring API keys to third parties
- Immediately revoking and regenerating keys if they are compromised
- Managing IP address restrictions as configured for your API keys
- All activity performed using your API keys is your responsibility
12.3 Security and IP Restrictions
To protect your account and our services, the following security measures apply:
- API keys are automatically restricted to the IP address from which they were created
- You may manage and update allowed IP addresses through your API dashboard
- API requests from unauthorized IP addresses will be rejected
- You are responsible for maintaining accurate IP restrictions
12.4 Rate Limits and Usage
API usage is subject to rate limits to ensure system stability and fair access:
Base rate limits are 60 requests per minute and 10,000 requests per day per API key. You may configure custom base rate limits when creating API keys. However, rate limits automatically increase based on your daily usage volume (tier system):
- Standard tier (0-1,999 daily calls): Base limits apply (60/min, 10,000/day)
- Silver tier (2,000-4,999 daily calls): Increased to 100/min, 15,000/day
- Gold tier (5,000-9,999 daily calls): Increased to 150/min, 25,000/day
- Platinum tier (10,000+ daily calls): Increased to 200/min, 50,000/day
Rate limits are calculated dynamically based on your current daily call volume and reset each day at 12:00 UTC. Exceeding rate limits will result in HTTP 429 (Too Many Requests) responses. We reserve the right to adjust rate limits based on system capacity and usage patterns.
12.5 Billing and Payment
API usage is billed on a pay-as-you-go basis:
- All API calls are charged according to our published pricing schedule
- Volume discounts apply automatically based on daily usage tiers
- Charges are deducted from your account balance immediately upon successful API calls
- Failed API calls (HTTP 4xx/5xx errors) are not charged
- You must maintain a sufficient balance to cover API usage. Insufficient balance will result in API request rejection
12.6 Usage Rights and Commercial License
All music generated through the API is provided with commercial licensing rights:
You may use API-generated content for:
- Commercial projects, products, and applications
- Public distribution, marketing, and promotional materials
- Integration into websites, applications, and services
- Any lawful purpose, subject to these Terms
12.7 Prohibited Uses
You agree not to use the API to:
- Violate any applicable laws, regulations, or third-party rights
- Generate content that is illegal, harmful, defamatory, or infringes intellectual property
- Attempt to reverse engineer, decompile, or extract underlying AI models
- Resell, redistribute, or sublicense API access without explicit written permission
- Use automated systems to circumvent rate limits or abuse the service
- Interfere with or disrupt the API or related infrastructure
12.8 Service Availability and Uptime
We strive to maintain high availability but do not guarantee uninterrupted service:
The API may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances. We are not liable for any losses resulting from API unavailability. We reserve the right to modify, suspend, or discontinue the API or any endpoints with reasonable notice.
12.9 Data Usage and Privacy
Your use of the API is subject to our Privacy Policy:
- We log API requests, including endpoint, timestamp, IP address, and usage metrics for billing and security purposes
- Request data and generated content may be stored for service delivery and quality improvement
- We do not share your API usage data with third parties except as required by law or as described in our Privacy Policy
12.10 API Access Termination
We may suspend or terminate your API access immediately if you violate these Terms, engage in fraudulent activity, or abuse the service. Upon termination, all API keys will be revoked and you must cease all API usage. You remain responsible for all charges incurred prior to termination.
You may revoke your own API keys at any time through your dashboard. Revoked keys cannot be restored and must be regenerated if you wish to resume API access.
11. Miscellaneous
11.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SoundStudioPro regarding the Service.
11.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
11.3 Waiver
The failure of SoundStudioPro to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
